LIMITATION OF LIABILITY.

IN NO EVENT WILL WE OR ANY OF OUR OFFICERS, DIRECTORS, SHAREHOLDERS OR EMPLOYEES BE LIABLE FOR ANY LOST PROFITS, LOSS OF REVENUE OR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM YOUR USE OF THE SITE OR ANY TRANSACTION BETWEEN US OR BETWEEN YOU AND PROVIDERS THAT IS ENABLED BY OR ARISES IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (i) BREACH OF CONTRACT, (ii) BREACH OF WARRANTY, (iii) STRICT LIABILITY, (iv) TORT, (v) NEGLIGENCE, (vi) STATUTE, OR (vii) ANY OTHER CAUSE OF ACTION, TO THE MAXIMUM EXTENT SUCH EXCLUSIONS AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IN ALL EVENTS, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IN ANY CIRCUMSTANCE ARISING OUT OF OR IN CONNECTION WITH THE SITE IS LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY US FROM YOU DURING THE CALENDAR MONTH IN WHICH THE ALLEGED CLAIM(S) ACCRUED. Any cause of action you may have under these Terms or with respect to your use of the Site must be brought within one (1) year after the claim or cause of action first arises.

DISCLAIMER.

THE SITE, INCLUDING ALL CONTENT, SERVICES, FUNCTIONS, SOFTWARE, MATERIALS AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE SITE, IS PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND ABOUT THE CONTENT ON THE SITE OR THE SERVICES, INFORMATION, FUNCTIONS AND MATERIALS AVAILABLE THROUGH IT, ABOUT ANY SERVICES OR PRODUCTS OR LINKS TO THIRD PARTIES, OR ABOUT ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE SITE OR ANY LINKED SITE. WE EXPRESSLY DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, TITLE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE FUNCTIONS, SERVICES, CONTENT OR MATERIALS ON THE SITE WILL MEET YOUR NEEDS, BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY MATERIAL OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SITE IS AT THE USER’S OWN DISCRETION AND RISK, AND THE USER IS SOLELY RESPONSIBLE FOR ANY DAMAGE TO THEIR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM IT. NO INFORMATION OBTAINED BY A USER THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Release.

If you have a dispute arising from or connected with your use of the Site (including any dispute between you and a Provider about a transaction or interaction enabled by or arising from your use of the Site), you release and forever discharge us and our agents, directors, officers, employees, shareholders and all related persons or entities from all rights, complaints, demands, claims, causes of action, proceedings, obligations, liabilities, legal fees, costs and disbursements of any kind, whether known or unknown, that now or later arise from or relate to that dispute or your use of the Site. If you are a California resident, you waive California Civil Code section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.” If you are a resident of any other state, you expressly waive the terms and protections of any statute of your state that has a similar effect or purpose.

Indemnity.

You agree to indemnify, defend and hold harmless us and our agents, directors, officers, employees, shareholders and all related persons or entities (the “Indemnified Parties”) from any and all liability and costs (including reasonable attorneys’ fees and court costs) incurred by the Indemnified Parties in connection with any claim arising out of your use of the Site (including any transaction or interaction between you and a Provider or any of the Provider’s affiliates, partners or agents that is enabled by or arises from your use of the Site), any act or failure to act by you or other users of your account, or any breach by you of these Terms, including the representations, warranties and covenants you make here.

Copyright Notification.

We do not allow copyright infringement or other infringement of intellectual property rights on the Site, and we will remove Content if we are properly notified that it infringes someone else’s rights. If you are a copyright owner, or an agent of one, and believe that any Content in a public area of the Site infringes your copyright, you may send a notification under the Digital Millennium Copyright Act (“DMCA”) to our copyright agent, in writing, with the following information (see 17 U.S.C. § 512(c)(3) for details):

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
  • Identification of the copyrighted work claimed to have been infringed or, if several works are covered by one notification, a representative list of them.
  • Identification of the material claimed to be infringing, or to be the subject of infringing activity, that should be removed or have access disabled, with enough information for us to locate it.
  • Enough information for us to contact you, such as an address, telephone number and email address.
  • A statement that you have a good faith belief that the use of the material in the way complained of is not authorized by the copyright owner, its agent or the law.
  • A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

Please send notifications of claimed infringement to info@allstatecarship.com. Only DMCA notices should be sent there; any other feedback, comments, technical support requests or other communications should go to our customer service through the Contact Us or Help area of the Site. If you do not meet all of the requirements above, your DMCA notice may not be valid.

Trademarks.

Our logo and our other product and service names are our trademarks (the “Marks”). You agree not to display, reproduce or otherwise use the Marks in any way without our prior written permission.

Choice of Law and Forum.

This agreement is governed by the laws of the State of Illinois, United States of America. Subject to the Dispute Resolution by Binding Arbitration section below, you irrevocably agree that the courts of that jurisdiction are the sole and exclusive venue for any legal dispute, and you agree not to sue us in any other forum for any cause of action. If we do not exercise or enforce a right or provision of these Terms, that is not a waiver of it. Subject to the arbitration section below, if a court of competent jurisdiction finds any provision of these Terms, or part of one, unenforceable, that provision will be enforced to the maximum extent possible to carry out the intent of these Terms, and the rest of the Terms will remain in full force and effect.

Dispute Resolution By Binding Arbitration.

PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS.

You agree to try in good faith to settle any dispute or claim between us that arises out of or relates in any way to these Terms, your use of the Site or the Content, including any dispute or claim between you and a Provider (each a “Claim”), through consultations between you and us. Either party can start these consultations by sending written notice to the other (the “Consultation Notice”). The Consultation Notice must describe the nature and basis of the Claim and state the specific relief sought (the “Demand”). If the Claim is not resolved within thirty (30) days after the Consultation Notice is received, either party to the consultations may start an arbitration by written notice to the other, in line with this section. Any notice to us under this section should be sent to info@allstatecarship.com (the “Notice Address”).

You agree to arbitrate all Claims between you and us that cannot be resolved under the paragraph above. This agreement to arbitrate is meant to be read broadly. It includes (a) claims arising out of or relating to any part of your relationship with us, whether based on contract, tort, statute, fraud, misrepresentation or any other legal theory, and (b) claims that could be brought as class actions (and you agree to waive the right to take part in a class action under this section). For clarity, references in this section to “Site operator”, “Provider”, “we”, “Prospect”, “you” and “us” include our respective subsidiaries, affiliates, agents, employees, predecessors in interest, successors and assigns, as well as all authorized or unauthorized users or beneficiaries of the services, information or Site Content available through the Site. This arbitration agreement does not stop you from bringing an individual action in small claims court or from raising issues with federal, state or local agencies, such as the Federal Communications Commission. By entering into this arbitration agreement, you and we each waive the right to a jury trial and to take part in a class action. You acknowledge and agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. This arbitration provision survives termination of this Agreement.

The arbitration will be governed by the American Arbitration Association (“AAA”) under its rules and procedures, including the AAA’s Supplementary Procedures for Consumer-Related Disputes (together, the “AAA Rules”), as modified by this Agreement (but expressly excluding the Supplementary Rules for Class Arbitration and any other AAA Rules that conflict with the waiver of class arbitration and representative proceedings below). It will be administered by one (1) arbitrator with relevant industry experience, appointed under the AAA Rules. The arbitrator is bound by the terms of this Agreement. All issues are for the arbitrator to decide, including issues about whether this arbitration agreement applies and is enforceable.

Unless the parties agree otherwise, any arbitration hearing under this section will take place in Cook County, Illinois. If the arbitrator finds that either the substance of your Claim or the relief sought in the Demand is frivolous or brought for an improper purpose, you agree to reimburse us for all amounts we have paid that would otherwise be your responsibility under the AAA Rules.

The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief, and only as far as needed to provide the relief that party’s individual claim warrants. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, AND THAT THIS AGREEMENT EXPRESSLY PROHIBITS CLASS ARBITRATION BY ANY PARTY. Unless the parties agree otherwise, the arbitrator may not combine more than one person’s Claims and may not preside over any form of representative or class proceeding. The arbitrator is not bound by rulings in prior arbitrations involving our other Users, but is bound by rulings in prior arbitrations involving the same User to the extent required by applicable law.

Except for the paragraph above that prohibits class arbitration and representative proceedings, if an arbitrator or court decides that any part of this section is invalid or unenforceable, the other parts still apply. If the prohibition on class arbitration or representative proceedings is found invalid or unenforceable, this entire section becomes null and void. The rest of the Terms, including the Choice of Law and Forum section, will remain in force.

You may opt out of this arbitration provision only by written notice to us at the Notice Address within thirty (30) days of accepting this agreement. The notice must include your name, your address and a clear statement that you do not want to resolve disputes with us through arbitration.

If we change this arbitration provision (other than a change to the Notice Address), the change will not apply to any Claim against us started before the effective date of the change. It will apply to all other Claims that have arisen or may arise between you and us. We will tell you about changes to this arbitration provision by posting the updated terms on the Site or by email, at least thirty (30) days before the changes take effect.

Despite anything else in these Terms, Providers are third-party beneficiaries of the dispute resolution and arbitration rights in this section, and each Provider may enforce this section against Users as if it were a party to this agreement, in any dispute or claim between you and that Provider that is based on or relates to a transaction or interaction enabled by or arising from your use of the Site.

No Agency:

The relationship between the Company and each User and Provider is that of independent contractors. These Terms and your use of the Site do not create any agency, joint venture, partnership, employer-employee or franchisor-franchisee relationship.

Notices:

Unless stated otherwise, any notice from you to us must be sent by email to info@allstatecarship.com. When we need to notify you, we will send it to the email address you last gave us. A notice is considered given when received, or 24 hours after the email is sent, unless the sender is told the email address is invalid. We may also send notice by certified mail, postage prepaid, return receipt requested, to any address you have given us. In that case, notice is considered given three days after mailing.

Amendments:

We may change, modify, add or remove any part of these Terms, in whole or in part, at any time. Changes will be posted on the Site and take effect immediately. If you keep using the Site after a change is posted, you accept it. These Terms may otherwise be modified only in a writing signed by both parties. A delay or failure by either party to exercise a right or remedy is not a waiver of it or of any other right or remedy. No waiver is valid unless it is in writing and signed by the party giving it, and then only to the extent stated. These Terms (including the E-Sign Consent) and the Privacy Policy are the entire agreement between us and Users on the matters they cover.

Links to Third-Party Sites:

The Site may contain links to other websites. We are not responsible for the availability of those sites or resources, and we do not endorse, and are not responsible or liable for, any content, advertising, products or other materials on or available from them. We are not liable, directly or indirectly, for any damage or loss caused or alleged to be caused by your use of or reliance on any content, products or services on those sites. We provide these links only as a convenience, and including a link does not mean we endorse the website or resource.

Partial Invalidity:

If any one or more sections of these Terms are found invalid or unenforceable, the remaining provisions are not affected.

Acknowledgement:

You acknowledge that you have read and understood these Terms and that they have the same force and effect as a signed agreement. These Terms give no rights to anyone other than the parties to them.

E-Sign Consent.

You understand that, to access and keep the electronic Disclosures, you will need:

  • A current web browser with 128-bit encryption and cookies enabled. www.allstatecarship.com only uses cookies required for your session and for ad campaign conversion tracking (Bing and Google). We never add unnecessary trackers or third-party remarketing cookies.

By consenting, you agree that electronic Disclosures have the same meaning and effect as paper Disclosures. When we send you an email or other electronic notice that Disclosures are available and we do make them available online, that has the same meaning and effect as providing paper Disclosures, whether or not you choose to view them, unless you have already withdrawn your consent. You agree that Disclosures are considered received by you within 24 hours of being posted to our website, or within 24 hours of being emailed to you, unless we receive notice that the email address is invalid. We may cancel this electronic Disclosure service, change its terms of use, or send Disclosures on paper at any time.

You agree that we are responsible for sending notice of the Disclosures to you electronically, including to the email address you gave us, but we are not responsible for any delay or failure in your receiving those email notices.

TCPA Compliance.

The Telephone Consumer Protection Act (TCPA) regulates telemarketing calls, auto-dialed calls, prerecorded calls, text messages and unsolicited faxes. This is not required, and you may choose to receive the code by voice call instead. The text is only for confirming your identity and will not be used to send promotional or other unsolicited messages from www.allstatecarship.com. Standard message and data rates may apply. To make sure you receive no further messages from us, you can reply “STOP” to the verification message at any time, and you will be removed from any future message attempts.
